Boeing Completes Acquisition of Spirit AeroSystems

Transaction underscores commitment to aviation safety and airplane quality while strengthening commercial production and supply chain stability

Major operations align under Commercial Airplanes, aftermarket aligns under Global Services, defense programs to operate independently

Spirit Defense established to ensure continuity for teammates, uninterrupted support for U.S. defense and space programs

ARLINGTON, Va., Dec. 8, 2025 /PRNewswire/ -- Boeing [NYSE: BA] today announced it has completed its acquisition of Spirit AeroSystems [NYSE: SPR].

"This is a pivotal moment in Boeing's history and future success as we begin to integrate Spirit AeroSystems' commercial and aftermarket operations and establish Spirit Defense," said Kelly Ortberg, president and chief executive officer of The Boeing Company. "As we welcome our new teammates and bring our two companies together, our focus is on maintaining stability so we can continue delivering high quality airplanes, differentiated services, and advanced defense capabilities for our customers and the industry."

Boeing's acquisition includes all of Spirit's Boeing-related commercial operations, including fuselages for the 737 program and major structures for the 767, 777 and 787 Dreamliner. It also includes commercially procured fuselages for the P-8 and KC-46.

The transaction also brings Boeing's largest supplier of spare parts in house, expands Boeing's global maintenance, repair and overhaul services footprint and adds to Boeing's rotable, lease, and exchange portfolio with Spirit's aftermarket businesses.

Spirit Defense will continue to support its customers as an independent supplier to the defense industry to ensure uninterrupted support for its customers. It will act as a non-integrated subsidiary of Boeing Defense, Space & Security, aligning for financial reporting and select enterprise functional and site support, but maintaining independent governance and operations.

In addition, portions of Spirit AeroSystems' operations in Belfast, Northern Ireland, have been acquired by Boeing, and the Belfast site will operate as an independent subsidiary branded as Short Brothers, a Boeing Company.

Spirit AeroSystems' commercial and aftermarket operations in Wichita, Kansas; Dallas, Texas; and Tulsa, Oklahoma, as well as Spirit's Aerospace Innovation Center in Prestwick, Scotland, will begin to integrate into Boeing. Approximately 15,000 teammates across the five sites are becoming a part of Boeing.

Boeing to Highlight Middle East Partnerships and Growth at Dubai Airshow 2025

Boeing is a strategic sponsor of the Airshow's Aerospace 2050 and Aviation Mobility conferences, with a focus on innovation, collaboration and sustainability. FLEET - High-five: Fifth 777-9 takes flight

How teammates completed a first for the 777-9 program in nearly five years.

The fifth Washington-built Boeing 777-9 took off from Paine Field in Everett, Washington, Tuesday at 11:03 a.m., a sign of progress for the company’s widebody program as the team works to deliver the first airplane in 2026.
The flight marked the first time in nearly five years the team built, prepared and flew a 777-9 airplane on its first flight.
Capt. Ted Grady, 777X chief pilot, and Capt. Mark Brown, 777-9 project pilot, completed the 2-hour, 27-minute flight profile to validate the airplane’s handling and performance.
During the flight, Grady and Brown navigated a route over Washington, reaching an altitude of 39,000 feet (11,887 meters) and an airspeed of Mach .84 (511 knots), which is typical for a first flight.
Zach Lewis and Joel Conard, systems operators, and Cody Bruinsma and Mike Deutsch, flight analysts, accompanied them. The airplane returned as planned to Paine Field at 1:30 p.m.
“The 777-9 flies beautifully, and this airplane performed just as we expected,” Grady said. “We appreciate the hard work of our coworkers who designed, built and prepared this airplane for flight. Together, we are going to get the 777-9 certified and in our customers’ fleets.”

What’s next: 

The airplane will undergo a series of ground and flight tests designed to demonstrate compliance with requirements for resilience against electromagnetic interference and lighting strikes.

Boeing Expands ecoDemonstrator Flight Testing with 'Explorer' Airplanes, Announces 2023 Plan

- Accelerating technology development for sustainability with multiple airplanes
- Boeing will use first Boeing ecoDemonstrator Explorer, a 787-10 Dreamliner, to partner with four countries on operational efficiency testing
- Flagship ecoDemonstrator will test 19 new technologies in 2023

SEATTLE, April 27, 2023 /PRNewswire/ -- Boeing [NYSE: BA] is expanding its ecoDemonstrator flight-test program to further accelerate innovation for sustainability and safety. The company today announced its 2023 plan to assess 19 technologies on the Boeing 777 ecoDemonstrator, while also adding "Explorer" airplanes that will focus tests on specific technologies.
The first ecoDemonstrator Explorer, a 787-10 Dreamliner, will conduct flight tests in June from Seattle to Tokyo, Singapore and Bangkok to demonstrate how coordinating navigation across global airspace jurisdictions can improve operational efficiency, which can reduce an airplane's fuel use and emissions by up to 10%. Utilizing today's onboard capabilities, Boeing and air navigation service providers (ANSPs) in the U.S., Japan, Singapore and Thailand will collectively sequence the airplane's routes to achieve the optimal flight path across multiple regions, factoring in conditions such as weather, air traffic and airspace closures. The airplane will fly on the highest available blend of sustainable aviation fuel (SAF) at each location.
"To support our industry's goal for net zero carbon emissions by 2050, Boeing is expanding our ecoDemonstrator program with Explorer airplanes to test even more sustainability-focused technologies," said Stan Deal, president and CEO of Boeing Commercial Airplanes. In 2023, Boeing also will use its current flagship ecoDemonstrator airplane, a 777-200ER (Extended Range), to test 19 technologies including:
Sustainable wall panels in the cargo hold that are made of 40% recycled carbon fiber and 60% resin made from a bio-based feedstock
A fiber optic fuel quantity sensor compatible with 100% SAF
An Electronic Flight Bag application featuring Smart Airport Maps, a component of Jeppesen FliteDeck Pro, which reduces operational costs and supports safe taxi operations with the depiction of contextual airport data
For all flight tests, the airplane will fly on the highest available blend of SAF locally
Since its initial flights in 2012, the Boeing ecoDemonstrator program has accelerated innovation by taking new technologies out of the lab and testing them in an operational environment. Including the 2023 plan, the program will have tested about 250 technologies to help decarbonize aviation, improve operational efficiency and enhance safety and the passenger experience. Approximately a third of tested technologies have progressed onto Boeing's products and services.

Boeing board approves B777XF

In an call with investors discussing the latest financial performance, the CFO of Boeing has announced that the board has officially given approval for the B777XF, the freighter-variant of the new B777X. According to him, the manufacturer can now officially market the aircraft. Boeing has been mulling the launch of the freighter for a while now and had, initially, planned to launch it at the Dubai Air Show in November last year.

Although no exact technical details have been made public yet, Reuters is reporting that Qatar Airways is close to become the launch customer for the B777XF. An announcement about an order could come as early as next week when the Emir of Qatar is visiting the US. According to Reuters, the order would be for up to 50 B777XFs, which would include options. The airline will use the new aircraft to renew and expand its current fleet of 26 B777Fs (with eight more on order).

Boeing instructs grounding of around 90 B737MAXs

According to a statement on 9 April, Boeing has instructed sixteen airlines to ground around 90 B737MAXs to conduct an inspection and, if needed, fix of its electrical systems. The manufacturer is working closely with the FAA in solving the issue, which might have occured at these aircraft due to a change in the production process. If the issue is found, the aircraft is recommended to only resume operations after implementing a fix.

It's unclear which airlines are affected by the instruction, but Southwest Airlines has announced it has temporarily removed 30 of its 58 B737-8s from service, while United Airlines said it has grounded sixteen of its 30, American Airlines has grounded seventeen and Alaska Airlines its four B737-9s.
